Hired Blue Moon Advisors to handle our business finance documentation for our capital raise. They did a great job taking care of my wife and me! When I showed the documents to potential investors they gave us great feedback on the documents, especially their pro forma and business plan. Excellent due diligence and finance packaging company. Helped me develop our finance package and connected us with someone to get us a 0% financing loan. Although the process is long, they try their hardest to make it a smooth process. Really appreciate all that they've done for us! We also signed up for their MVP program, so our virtual portal and corporate governance is taken care of on a monthly basis. We plan on doing a next round of financing in a few months, so I will update the review once we've gone through this process again with Blue Moon Advisors. However, overall is was a great experience and I highly recommend them!

My name is Tony Drexel Smith. I am the CEO and Founder of Blue Moon Advisors. Blue Moon Advisors™ is a business finance consulting firm that serves high net worth individuals, family offices, private equity funds and venture capitalists in support of financing early stage, growth, small to mid-cap companies. We are most known for an 8-year study I completed of successful enterprises thereby creating a predictive methodology approach for businesses known as the Capital Readiness Report™ (Due Diligence). I am most known for my experience and skills with financial modeling (Pro Forma forecasts). I have completed hundreds of them in dozens of industries, sectors and subsectors. The internal team also completes business plans and valuations. All other work accomplished is completed through a network of professionals known as Blue Moon Advisors™. Blue Moon Advisors™ primarily completes work for the capital providers we serve by producing Capital Readiness Reports™ (CRR™). Blue Moon Advisors™ starts every project with a CRR™ and then manages the project by increasing the score as we engage the Client. We charge Clients $2,500 to complete our assessment and deliver a 10-page opinion letter with supporting material. With 22 years of experience, assessing thousands of companies, our assessment of a business’s potential for success via predictive and adaptive methodologies has proven to be relatively accurate, beneficial and effective over time. To that end, more than 90% of our revenue is generated by serving 12 primary organizations we work for (these same companies, individuals and agencies own the majority of Blue Moon Advisors™). Our mission is to provide a compliant, professional, time-sensitive, cost-conscious and realistic approach to the business finance process for our Clients. We accomplish this mission through a highly vetted, eight-year concept known as the “Capital Readiness Report™” and “CRR Score™.” We only serve the Blue Moon Advisor Network™. To that end, we do not advertise or market our business as we are exclusive to the network. Are you a Direct Source of Capital? To be clear, we are not sources of capital. We are not brokers or agents of capital. Rather, we serve as a third party due diligence firm with an expertise in completing sophisticated, objective and subjective business analysis. We also produce business finance document preparation in support of raising capital. We are experts in documents that are prepared for the right audience, at the right time, for the correct type of capital. We are experts in all types of capital for clients and can often steer a Client in the right direction for the correct type of capital that best fits their needs. However, we are often confused as having capital available, which we do not. Because the Companies we serve provide capital, does not mean that Blue Moon can provide or guarantee capital. How Does Blue Moon Advisors Earn Revenue? In some cases, the sponsors (Our Blue Moon Advisor™ members) pay for services. In most cases, they have their clients pay Blue Moon directly. Sometimes, it is a combination of both. We earn revenue three ways: (1) $2,500 per Capital Readiness Report™; (2) We engage Clients to prepare business plans, pro forma development, valuations and other business finance documents and earn an average of $2,500 per deliverable based on a $250 per hour model (cases in which we are the project manager and hire subcontractors to complete legal, accounting, and graphic work, we charge more); (3) We operate a Virtual Data Room known as the Management Virtual Portal™ or “MVP™” a monthly subscription program.

Blue Moon Consortium (Nevada LLC with 40+ Secret Shareholders) is acting as a broker-dealer through their various shell companies. Blue Moon Advisors (Nevada LLC) was essentially a pyramid scheme that guarantees "you will earn as much as 15% referral fees derived from gross revenues earned by Blue Moon Advisors for business sent by you". But you see, the Blue Moon Consortium (and all of their shell companies) is actually one company, operating out of one building, with very few employees (4 employees maybe). In fact, I was threatened and coerced into signing a consulting contract (via several in person veiled death threats), where they would receive 5% of all my companies, in exchange for the $60,000 consulting fee. However, they refused to identify their shareholders, and they refused to admit their numerous conflicts of interest. And I later came to find out, that they were attempting to prevent me from entering the marketplace (their shareholders are direct competitors of mine). - For example, Richard Kern and Constance Kern (major shareholders) own and operate Colorado Natural Health Centers LLC, which is a direct competitor of mine. - Also Bruce Perlowyn of Hemp Inc (major competitor of mine) has close ties to Freedom Leaf, which is also a major shareholder in the Blue Moon Consortium. - And then there is Cannabis Science (major competitor of mine), who is also closely tied to Freedom Leaf (and probably a shareholder in Blue Moon). And I am sure there are more conflicts of interest, but they wouldn't tell me who all of the shareholders were. And Nevada Law makes it so I can't find out. So after being coerced into signing a contract where Blue Moon Consortium received 5% of all my companies, in exchange for a $60,000.00 fee (a fee which was previously reduced to $30,000.00), I immediately went home and read the contract and emailed them the need for several corrections. I then emailed Tony Drexel Smith and asked for the Word Document so I could make the necessary corrections to the contract. But Tony Drexel Smith refused and chose to have a previously disbarred Attorney friend of his (Joseph Hoats who was Disbarred in Tennessee), write up the new contract. I then emailed my termination of relationship; and then I emailed the head of the snake: Hello Richard Kern, It was a pleasure meeting you at the Blue Moon Offices the other day. I wish I liked your 'used car salesman' partner (Tony Drexel Smith), but he tried to scam me. You see, during the coerced signing of the contract, Tony Drexel Smith issued several veiled threats to me: "If you ruin my reputation... I have threatened to kill people in my office... I have punched holes in walls... my wife has speckled those holes... I was in the military... etc." Following all of this, I attempt to meet with Richard Kern (CEO of Blue Moon Advisors). Richard Kern then refuses to meet with me. BOTTOM LINE: Do not do business with these people, they are a fraudulent pyramid scheme that is acting as a broker-dealer, while telling everyone they are simply consultants. Scam artists they are.
